Agreement and Business Use

These Terms of Service (“Terms”) govern access to and use of whalesweepstakes.com and the software licenses, platform access, accounts, setup, support, and related products and services made available by Whale Sweepstakes Software (“Whale Sweepstakes,” “we,” “us,” or “our”).

By submitting a request, accepting a quote or invoice, making a payment, accessing an account, or using the services, the customer agrees to these Terms and any additional written terms applicable to the order. A person acting for a business confirms authority to bind that business and that they are at least the age of majority in their jurisdiction.

Services

Whale Sweepstakes provides or coordinates software licenses, platform access, account setup, software and hardware configuration, technical installation, and related business support for approved customers.

Available products, features, account structures, setup methods, support, pricing, and delivery timing may vary by platform, order, location, and third-party availability. Website descriptions are general information and do not replace an accepted quote, invoice, order confirmation, or written agreement.

Software Provider Only

Whale Sweepstakes is a software and technology provider only. We do not own, operate, manage, or control any customer’s business, location, promotion, or gaming operation.

Customers are solely responsible for the operation of their business and for the manner in which they use the software.

Compliance and Intended Use

Whale Sweepstakes provides software, platform access, and related business services intended for lawful sweepstakes, skill-based, prereveal, promotional, and similar business operations.

Customers are solely responsible for ensuring that their use of the software complies with all applicable federal, state, and local laws, regulations, licensing requirements, and operating rules in the jurisdictions where they operate.

Whale Sweepstakes does not provide legal, regulatory, or tax advice and does not represent or warrant that any particular use of the software is lawful in any jurisdiction. Customers should consult qualified legal counsel before operating the software.

Orders, Pricing, and Payment

Customers must review product selection, account details, pricing, payment instructions, and delivery requirements before authorizing an order. Pricing and payment terms are those stated in the applicable quote, invoice, order confirmation, or written agreement. Customers must promptly report suspected billing or processing errors and provide information reasonably needed for review. Non-payment may result in delayed delivery, suspension, or termination.

Delivery and Activation

Digital services are considered delivered when access is activated, credentials are issued, or the requested service is otherwise made available. Hardware, shipping, installation, and on-site work may have separate delivery, acceptance, warranty, and cancellation terms stated in the applicable order documents.

License and Account Access

Software and platform access are provided under the Licensing Policy and any more specific platform or order terms. Customers receive only the limited rights expressly granted for approved business use, must keep credentials secure, restrict access to authorized users, and promptly report suspected unauthorized use. Customers are responsible for activity through their accounts unless applicable law or a written agreement provides otherwise.

Third-Party Platforms and Services

Whale Sweepstakes may provide access to, coordinate, distribute, or support software and services owned or operated by third parties. Third-party terms may apply. Third-party owners may change features, pricing, availability, technical requirements, or access rules. Whale Sweepstakes does not receive ownership of third-party intellectual property and cannot guarantee continued or uninterrupted availability.

Acceptable Use

Customers may not copy, resell, sublicense, transfer, reverse engineer, hack, bypass security measures, interfere with systems, use unauthorized credentials, introduce malicious code, misrepresent a relationship with a platform owner, infringe another party’s rights, harm system availability or security, or use the services unlawfully.

Availability and Support

We may perform maintenance, apply updates, change service methods, or respond to security and legal requirements. Support scope and response times depend on the applicable order. Unless expressly agreed in writing, we do not guarantee uninterrupted, error-free, or continuous availability of the website, software, platform, or any third-party service.

Refunds and Cancellations

Refunds for digitally delivered software, licenses, access, account setup, and related services are governed by the Refund Policy and any more specific written order terms. Hardware, shipping, installation, and on-site services may be governed by separate written terms.

Intellectual Property

The website, brand materials, original text, graphics, and other materials created by us are protected by applicable intellectual-property laws. Third-party software, game content, trademarks, interfaces, and documentation remain the property of their respective owners. No ownership right is transferred by access, payment, or use, and no brand element may be used to falsely suggest ownership, endorsement, or authorization.

Privacy and Communications

Personal information is handled as described in the Privacy Policy. We may send service, account, order, security, and support communications. Marketing communications may be sent where permitted by applicable law and may be declined using the unsubscribe method provided or by contacting us.

Disclaimers

Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss resulting from a third-party platform decision, except where prohibited by law. Nothing limits liability that cannot lawfully be limited. A different limitation in a signed agreement or accepted order document controls for that transaction to the extent permitted by law.

Suspension and Termination

Whale Sweepstakes may suspend or terminate access for non-payment, security concerns, policy violations, suspected fraud, legal requirements, or platform availability. Suspension or termination does not create any right to a refund. Payment, ownership, disclaimer, limitation, and other provisions that should survive remain effective.

Changes to the Services or Terms

We may update these Terms from time to time. The “Last Updated” date indicates when the current version became effective. Material changes will be communicated when required. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law; otherwise, the customer must stop using the affected services, subject to existing payment and contractual obligations.

General Terms

These Terms, the Privacy Policy, Refund Policy, Licensing Policy, and applicable written order documents form the agreement concerning the services. More specific written terms control if they directly conflict with these general Terms.

If a provision is unenforceable, the rest remain effective; a failure to enforce is not a waiver. The parties should first try in good faith to resolve disputes in writing. Applicable mandatory law and any governing-law, assignment, or dispute provision in a more specific signed agreement will control.
